These terms are intended to govern your use (“User”, “You”, “Your”) of mothersfund.ae (the “Site”) these Site (s) are operated by Mohammed bin Rashid Al Maktoum Global Initiatives (“MBRGI”, “our”, “we” or “us”). The services MBRGI provides on the Site include, where applicable, applications, community pages, message boards, messaging services, and any other features, content, news, donation messages, or applications offered from time to time by MBRGI (collectively, the “MBRGI Services”).

By visiting the Site, you accept and agree to be bound by these Terms and Conditions of use, including any future amendments, which constitute an agreement (“Agreement”) between you and MBRGI and to abide by all applicable laws, rules and regulations (collectively: “Applicable Laws” or “Law”). Please read this Agreement carefully. We reserve the right to modify or amend this Agreement without notice at any time, and such modification(s) will be effective upon posting on the Site. All material modifications will apply prospectively only. Your continued use of the Site and/or MBRGI Services following any such modification constitutes your acceptance and agreement to be bound by the Agreement as so modified. It is therefore important that you review this Agreement regularly. If you do not agree to be bound by this Agreement and to abide by Applicable Laws, you must immediately leave the Site and discontinue your use of MBRGI Services. Your access to certain Site features may require you to accept additional terms and conditions applicable to such features, in addition to this Agreement.

1. Eligibility and User Protection of Information
1.1 Use of the Site and MBRGI Services is limited to users 18 years of age and older. Any registration information you submit to create an account (if such option is available to the User) must be accurate, complete and kept updated. You are responsible for maintaining the confidentiality of your password and are responsible for all use of your account. It is therefore critical that you do not share your password with anyone. You agree not to use the username, email address or password of another user at any time. You agree to notify us immediately if you suspect any unauthorized use of, or access to, your account or password.

2. Term
2.1 This Agreement shall remain in full force and effect while you use the Site Services or are a Subscriber or a Member. We may terminate your subscription or membership at any time, without warning. Even after subscription or membership is terminated, this Agreement will remain in effect.

3. MBRGI Content
3.1 The Site and MBRGI Services contain information, text, files, images, video, sounds, musical works, works of authorship, applications, and other materials and content (collectively: “Content”) of MBRGI (“MBRGI Content”). MBRGI Content is protected by copyright, trademark, patent, trade secret and other laws, and as between you and us, we own and retain all rights in MBRGI Content and MBRGI Services. we hereby grant you a limited, revocable, non-sub licensable license to access and display MBRGI Content (excluding any software code) solely for your personal, non-commercial use in connection with viewing the Site and using MBRGI Services. The Site and MBRGI Services may also contain Content of Users and other MBRGI licensors. Except as provided in this Agreement, by our prior written consent, or as explicitly permitted on the Site or MBRGI Services, you may not copy, download, stream capture, reproduce, duplicate, archive, upload, modify, translate, publish, broadcast, transmit, retransmit, distribute, perform, display, sell or otherwise use any Content appearing on or through the Site and/or MBRGI Services;
3.2 Further, except as explicitly and expressly permitted by MBRGI, you are strictly prohibited from creating works or materials (including but not limited to fonts, icons, link buttons, wallpaper, desktop themes, on-line postcards, montages, mash-ups and similar videos, greeting cards and unlicensed merchandise) that derive from or are based on MBRGI Content. This prohibition applies regardless of whether the derivative works or materials are sold, bartered or given away. You may not either directly or through the use of any device, software, internet site, web-based service or other means remove, later, bypass, avoid interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on MBRGI Content or any digital rights management mechanism, device, or other content protection or access control measure associated with MBRGI Content including geo-filtering mechanisms. Furthermore, you may not create, recreate, distribute or advertise an index of any significant portion of MBRGI Content unless authorized in writing by us. You may not build a business utilizing MBRGI Content, whether or not for profit.

4. Use of MBRGI’ services and contents
4.1 MBRGI Services are offered for your personal use only and may not be used for commercial purposes. We reserve the right to remove commercial content in its sole discretion. The User understands that he is responsible for all content that he posts, uploads, transmit, email or otherwise make available on, through or in connection with MBRGI Services (collectively: “User Content”). Accordingly, the User must, carefully, choose the information that the User posts on, through or in connection with MBRGI Services. User understands that we MBRGI do not control the User Content posted by users via MBRGI Services and, as such, User understands that User may be exposed to offensive, indecent, inaccurate or otherwise objectionable Content. MBRGI assumes no responsibility or liability for this type of Content.
4.2 MBRGI assumes no responsibility for monitoring MBRGI Services for inappropriate Content or conduct. If at any time, MBRGI chooses in its sole discretion to monitor MBRGI Services, MBRGI nonetheless assume no responsibility for User Content and assumes no obligation to modify or remove any inappropriate User Content, and no responsibility for the conduct of any user.
4.3 The User agrees NOT to use our Services to:
(a) Post, upload or otherwise transmit or link to Content that is: threatening; harmful; abusive; pornographic or includes nudity; offensive; harassing; excessively violent; tortuous; defamatory; invasive of another’s privacy, publicity, copyright, trademark, patent, trade secret, contract or other rights; false or misleading; obscene; vulgar; libelous; hateful; or discriminatory;
(b) Violate the rights of others including patent, trademark, trade secret, copyright, privacy, publicity or other proprietary rights;
(c) Harass or harm another;
(d) Exploit or endanger a minor;
(e) Impersonate or attempt to impersonate any person or entity;
(f) Introduce or engage in activity that involves the use of viruses, bots, worms, or any other computer code, files or programs that interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment, or otherwise permit the unauthorized use of or access to a computer or a computer network;
(g) Interfere with, damage, disable, disrupt, impair, create an undue burden on, or gain unauthorized access to MBRGI Services, including MBRGI’s servers, networks or accounts;
(h) Cover, remove, disable, block or obscure advertisements or other portions of MBRGI Services;
(i) Use technology or any automated system such as scripts or bots in order to collect usernames, passwords, email addresses or other data from MBRGI Services, or to circumvent or modify any security technology or software that is part of MBRGI Services;
(j) Send or cause to send (directly or indirectly) unsolicited bulk messages or other unsolicited bulk communications of any kind through MBRGI Services. If you do so, you acknowledge you will have caused substantial harm to us, and we reserve the right to take legal action in response to that;
(k) Solicit, collect or request any personal information for commercial or unlawful purposes;
(l) Post, upload or otherwise transmit an image or video of another person without that person’s consent;
(m) Engage in commercial activity (including but not limited to sales, contests, or sweepstakes) without MBRGI’s prior written consent;
(n) Use MBRGI Services to advertise or promote competing services;
(o) Use MBRGI Services in a manner inconsistent with Applicable Laws;
(p) Attempt, facilitate or encourage others to do any of the foregoing;
(q) Disclose personally identifiable information, such as your full name, email, address, telephone number or street address.
4.4 MBRGI reserves the right, but disclaims any obligation or responsibility, to remove User Content that violates this Agreement, as determined by MBRGI in its sole discretion. You acknowledge MBRGI reserves the right to investigate and take appropriate legal action against anyone who, in MBRGI’s sole discretion, violates this Agreement, including but not limited to, terminating their user account and/or reporting such User Content, conduct, or activity to law enforcement authorities.
4.5 You acknowledge, consent and agree that MBRGI may access, preserve or disclose information you provide, including User Content, when MBRGI has a good faith belief that such access, preservation or disclosure is necessary in order to: (i) protect or defend the legal rights or property of MBRGI, our parents, subsidiaries or affiliates (“Affiliated Entities”), or their employees, agents and contractors (including enforcement of our agreements); (ii) protect the safety and security of Users of MBRGI Services or members of the public including acting in urgent circumstances; (iii) protect against fraud or for risk management purposes; or (iv) comply with Applicable Laws or the legal process.

5. Privacy
5.1 The use of MBRGI Services is also governed by our Privacy Policy.

6. User’s Proprietary
6.1 MBRGI does not claim any ownership rights in the User Content that you post, upload, email transmit, or otherwise make available on, through or in connection with MBRGI Services; provided, however, that User Content shall not include any Content posted by a user that is already owned by MBRGI or any Affiliated MBRGI. By posting any User Content on, through or in connection with MBRGI Services, you hereby grant to MBRGI and our Affiliated Entities, licensees and authorized users, a perpetual, non-exclusive, fully-paid and royalty-free, sub-licensable, irrevocable, transferable (in whole or in part), worldwide license to use, modify, excerpt, adapt, create derivative works and compilations based upon, publicly perform, publicly display, reproduce, and distribute such User Content on, through or in connection with MBRGI Services or in connection with any distribution or syndication thereof to Third Party Services (as defined below), on and through all media formats now known or hereafter devised, for any and all purposes including, but not limited to, promotional, marketing, trade or commercial purposes. MBRGI’s use of such User Content shall not require any further notice to you and such use shall be without the requirement of any permission from or payment to you or to any other person or entity. MBRGI reserves the right to limit the storage capacity of User Content that you post on, through or in connection with MBRGI Services.
6.2 the User represents and warrants that: (i) he owns the User Content posted by him on, through or in connection with MBRGI Services, or otherwise have the right to grant the license set forth in this Section, and (ii) the posting of User Content by the User on, through or in connection with MBRGI Services and Third Party Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, and any other monies owing any person or entity by reason of the use of any User Content posted by you on or through MBRGI Services or Third-Party Services.

7. Unsolicited Submissions
7.1 MBRGI does not knowingly accept, via the Site or otherwise, unsolicited submissions including, without limitation, submissions of blog ideas, scripts, storylines, articles, fan fiction, characters, drawings, information, suggestions, proposals, ideas or concepts. MBRGI’s policy is to simply delete any such submission without reading it (or forwarding it). Therefore, any similarity between an unsolicited submission and any elements in any MBRGI creative work (or affiliated MBRGI’s creative work) including, without limitation, a film, series, story, title or concept would be purely coincidental.
7.2 If unsolicited submissions are sent to MBRGI via the Site or MBRGI Services, however, these submissions become the property of MBRGI and may be used, copied, sublicensed, adapted, transmitted, distributed, publicly performed, published, displayed or deleted as MBRGI sees fit. You agree that you are not entitled to any compensation, credit or notice whatsoever and that by sending an unsolicited submission you waive the right to make any claim against MBRGI, its parents or affiliates relating to unsolicited submissions, including, without limitation, unfair competition, breach of implied contract or breach of confidentiality.

8. Copyrights and Other Intellectual Property
8.1 MBRGI respects the intellectual property of others and requires that our users do the same. You may not upload, embed, post, email, transmit or otherwise make available any material that infringes any copyright, patent, trademark, trade secret or other propriety rights of any person or entity. MBRGI has a policy of terminating repeat infringers’ access to MBRGI Services in appropriate circumstances.
8.2 If the User believes that any material contained in the Site infringes his copyright, please email notification of the claimed infringement and include the following information:
(a) Identification of the copyrighted work claimed to have been or if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
(b) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit MBRGI to locate the material (or in the case of references or links that are claimed to have infringing material or activity, identification of the reference or link, to material or activity claiming to be infringing, that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit MBRGI to locate that reference or link);
(c) Information reasonably sufficient to permit MBRGI to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
(d) A statement by the User that he has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
(e) A statement by the User that the above information in his notification is accurate, and statement by him made under penalty of perjury, that he is the owner of an exclusive right this is allegedly infringed or are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
(f) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

9. Third-Party Links, Services and Advertising
9.1 MBRGI may provide, or third parties may provide, links to other websites, applications, resources or other services created by third parties (“Third Party Services”). When the User engages with the Third-Party Service, the User is interacting with the third party, not with MBRGI. If you choose to use a Third-Party Service and share information with it, the Third-Party Services may use and share your data in accordance with the Third-Party Service’s privacy policy and your privacy settings on such Third-Party Service. In addition, the third party providing the Third-Party Service may use other parties to provide portions of the application or service to you, such as technology, development or payment services. MBRGI is not responsible for the content or practices of any websites other than the Site, even if the website links to the Site and even if it is operated by an affiliated MBRGI or MBRGI otherwise connected with the Site. MBRGI makes no warranties, express or implied, as to the Third-Party Services (including the accuracy and completeness of the information supplied or the privacy practices thereof). If you decide to access other websites, you do so at your own risk. If MBRGI has provided links or pointers to other websites on the Site, they are sole as a convenience to you and no inference or assumption should be made and no representation should be implied that MBRGI is connected with, operates, controls or endorses these websites. When you access other websites or Third-Party Services, MBRGI encourages you not to provide any personally identifiable information unless you know and are comfortable with the party with whom you are interacting and their privacy policy.
9.2 If the User is interested in creating hypertext links to the Site, the User must contact MBRGI before doing so. In establishing hypertext links, you must not represent in any way, expressly or by implication, that you have received the endorsement, sponsorship or support of the Site or MBRGI, including its respective employees, agents, directors, officers and/or shareholders.
9.3 MBRGI takes no responsibility for third party advertisements which are posted on the Site, nor does it take any responsibility for the goods or services provided by its advertisers.

13. Indemnity
13.1 You agree to defend, indemnify and hold harmless MBRGI, its parents, affiliates and related entities together with their respective employees, agents, directors, officers, and shareholders, from and against all the liabilities, claims, damages and expenses (including reasonable attorney’s fees and costs) arising out of your use of the Site and/or MBRGI Services; your failure to use the Site; your breach or alleged breach of this Agreement or your breach or alleged breach of the copyright, trademark, proprietary or other rights of third parties.

14. Termination

15. Other
15.1 The failure of MBRGI to exercise or enforce any right or provision of this Agreement will not operate as a waiver of such right or provision.
15.2 The section titles in this Agreement are for convenience only and have no legal or contractual effect.
15.3 This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
